Common use of Other Matters Concerning General Partner Clause in Contracts

Other Matters Concerning General Partner. (a) The General Partner and members of the Board of Directors may rely and shall be protected in acting or refraining from acting upon any resolution, certificate, statement, instrument, opinion, report, notice, request, consent, order, bond, debenture, conveyance or other paper or document believed by any of them to be genuine and to have been signed or presented by the proper party or parties. (b) The General Partner and members of the Board of Directors may consult with legal counsel, accountants, appraisers, management consultants, investment bankers, engineers, geologists, geophysicists and other consultants and advisers selected by them (which may include employees of the General Partner) and any opinion of such Person as to matters which the General Partner or Board of Directors reasonably believe to be within its professional or expert competence shall be full and complete authorization and protection in respect to any action taken or suffered or omitted by the General Partner or Board of Directors hereunder in good faith and in accordance with such opinion.
