Other Matters Pertaining to Prosecution and Maintenance of Patents. (a) Subject to Third Party and Parent-Originated Rights and Obligations, each Party shall keep the other Party informed through the Joint Patent Subcommittee as to material developments with respect to the Prosecution and Maintenance of such Collaboration Patents, Regulus Patents or GSK Patents for which such Party has responsibility for Prosecution and Maintenance pursuant to Sections 8.2.2, 8.2.3 or this Section 8.2.4, including without limitation, by providing copies of material data as it arises, any office actions or office action response or other correspondence that such Party provides to or receives from any patent office, including notice of all interferences, reissues, re-examinations, oppositions or requests for patent term extensions, and all patent related filings, and by providing the other Party the timely opportunity to have reasonable input into the strategic aspects of such Prosecution and Maintenance.

Other Matters Pertaining to Prosecution and Maintenance of Patents. (a) Subject to Third Party and Parent-Originated Rights and ObligationsDuring the Term, each Party shall will keep the other Party informed through the Joint Patent Subcommittee IP Committee (or to the other Party, if the IP Committee is disbanded) as to material developments with respect to the Prosecution and Maintenance of such Collaboration the Company Background Patents, Regulus Company Agreement Patents, Company Product-Specific Patents, Joint Agreement Patents or GSK (including Joint Product-Specific Patents) and Vertex Assigned Patents for which such Party has responsibility for Prosecution and Maintenance pursuant to Sections 8.2.2, 8.2.3 or this Section 8.2.48.2, including without limitation, by providing copies of material data as it arises, any office actions or office action response responses or other correspondence that such Party provides to or receives from any patent office, including notice of all interferences, reissues, re-examinations, oppositions or requests for patent term extensionsoppositions, and all patent patent-related filings, and by providing the other Party the timely opportunity to have reasonable input into the strategic aspects of such Prosecution and Maintenance.
