Common use of Other Operational Matters Clause in Contracts

Other Operational Matters. Except as would not, individually or in the aggregate, be reasonably expected to have a Material Adverse Effect on Primero or as disclosed in the Primero Disclosure Letter: (i) any and all operations of Primero and each of the Primero Subsidiaries and, any and all operations by third parties, on or in respect of the assets and properties of Primero and the Primero Subsidiaries, have been conducted in accordance with reasonable and prudent international mining industry practices and in material compliance with applicable Laws; and (ii) in respect of the assets and properties of each of Primero and the Primero Subsidiaries that are operated by it, if any, Primero and the Primero Subsidiaries hold all valid licences, permits and similar rights and privileges that are required and necessary under applicable Laws to operate the assets and properties of the Primero and any of the Primero Subsidiaries, as the case may be, as presently operated.
