Common use of Other Perfection Action Clause in Contracts

Other Perfection Action. Satisfactory evidence that all filings, recordations and searches necessary or desirable in connection with the Liens under the Collateral Documents shall have been (or concurrently with the closing, will be) duly made, all filing and recording fees and taxes shall have been (or concurrently with the closing, will be) duly paid and the Collateral Agent, on behalf of the Secured Parties, shall have (or concurrently with the closing, will have) a valid and perfected first priority (subject to Permitted Liens) Lien in the Collateral. Notwithstanding anything in this clause (vii), no Credit Party shall be required to take any Excluded Perfection Action.
