Common use of Other Regulatory Approvals Clause in Contracts

Other Regulatory Approvals. All necessary approvals, authorizations and consents of any governmental or regulatory entity required to consummate the Merger shall have been obtained and remain in full force and effect, and all waiting periods relating to such approvals, authorizations and consents shall have expired or been terminated, except where such failure would not have a Company Material Adverse Effect or a Parent Material Adverse Effect, as the case may be, or would not affect adversely the ability of the Company or Acquisition Sub, as the case may be, to consummate the Merger.
