Common use of Other Reports and Statements Clause in Contracts

Other Reports and Statements. Promptly upon the mailing to its stockholders of each annual report, proxy statement or other report or communication, a copy of each such report, proxy statement or communication; promptly upon any filing by the Borrower with the Securities and Exchange Commission or any governmental agency or agencies substituted for such Commission, or with any national securities exchange, of any annual or periodic or special report or registration statement, a copy of such report or statement; and promptly upon filing any reports of condition required to be filed with the Federal Reserve Board (with respect to the Borrower or any of its subsidiaries) a copy of such report. In the event that any Indebtedness of the Borrower is declared due and payable before its expressed maturity, or any holder of such Indebtedness shall have the right to declare such Indebtedness due and payable before its expressed maturity because of the occurrence of any default under such Indebtedness, the Borrower will immediately give the Bank written notice of such declaration or right of declaration. The Bank may visit and inspect any of the properties of the Borrower or its subsidiaries upon reasonable notice and during normal business hours, discuss at the principal office of the Borrower the affairs, finances and accounts of the Borrower and its subsidiaries with its and their officers, and request during such discussion such additional data and information as shall be necessary to establish that the Borrower has performed and observed the covenants and conditions set forth in the Loan Documents, all at such reasonable times and as often as the Bank may desire.
