Common use of Other Representations, Warranties and Covenants Clause in Contracts

Other Representations, Warranties and Covenants. (a) Grantors hereby represent and warrant that (i) each Grantor has good title to (x) each of the Airframes, Engines and Spare Engines that are listed on the initial Mortgage Supplement in its name and will have good title to each of the Airframes, Engines and Spare Engines listed on each subsequent Mortgage Supplement in its name at the time of execution and delivery thereof; and (y) all of the Spare Parts which are held by or on behalf of such Grantor at the Designated Spare Parts Locations identified on the initial Mortgage Supplement and will have good title to each of the Spare Parts which are held by or on behalf of such Grantor at the Designated Spare Parts Locations identified on each subsequent Mortgage Supplement and that such Spare Parts will be held by or on behalf of such Grantor at the Designated Spare Parts Locations identified on the applicable Mortgage Supplement at the time of execution and delivery; (ii) each Grantor will have good title to any of its other Collateral which is subject to this Mortgage or which becomes subject to this Mortgage from time to time hereafter; (iii) the Airframes, Engines and Spare Engines are correctly described by Manufacturer, model and serial number as set forth on the Manufacturer’s serial plate for said Airframes, Engines and Spare Engines, in each case subject to Permitted Encumbrances; and (iv) for purposes of the International Registry, model references for the Airframes, Engines and Spare Engines set forth in each Mortgage Supplement constitute the manufacturers’ respective generic model designations for such Airframes, Engines, and Spare Engines (as required to be used pursuant to the “regulations” (as defined in the Cape Town Convention)).

Other Representations, Warranties and Covenants. (a) Grantors hereby represent and warrant that (i) each Grantor has good title to (x) each of the Airframes, Engines and Spare Engines that are listed on the initial Mortgage Supplement in its name and will have good title to each of the Airframes, Engines and Spare Engines listed on each subsequent Mortgage Supplement in its name at the time of execution and delivery thereof; and (y) all of the Pledged Spare Parts which are held by or on behalf of such Grantor at the Designated Spare Parts Locations identified on the initial Mortgage Supplement and such Grantor will have good title to each of the Pledged Spare Parts which are held by or on behalf of such Grantor at the Designated Spare Parts Locations identified on each subsequent Mortgage Supplement and that such Pledged Spare Parts will be held by or on behalf of such Grantor at the Designated Spare Parts Locations identified on the applicable Mortgage Supplement at the time of its execution and delivery; (ii) each Grantor will have good title to any of its other Collateral which is subject to this Mortgage or which becomes subject to this Mortgage from time to time hereafter; (iii) the Airframes, Engines and Spare Engines are correctly described by Manufacturer, model and serial number as set forth on the Manufacturer’s 's serial plate for said Airframes, Engines and Spare Engines, in each case subject to Permitted EncumbrancesCollateral Liens; and (iv) for purposes of the International Registry, model references for the Airframes, Engines and Spare Engines set forth in each Mortgage Supplement constitute the manufacturers’ ' respective generic model designations for such Airframes, Engines, and Spare Engines (as required to be used pursuant to the “regulations” (as defined in the Cape Town Convention)).

(a) Grantors Great Lakes hereby represent represents and warrant warrants that (i) each Grantor Great Lakes has good title to (x) each of the Airframes, Engines Engines, Spare Engines, Propellers and Spare Engines Propellers that are listed on the initial Mortgage Supplement in its name and will have good title to each of the Airframes, Engines Engines, Spare Engines, Propellers and Spare Engines Propellers listed on each subsequent Mortgage Supplement in its name at the time of execution and delivery thereof; and (y) all of the Spare Parts which are held by or on behalf of such Grantor Great Lakes at the Designated Spare Parts Locations identified on the initial Mortgage Supplement and will have good title to each of the Spare Parts which are held by or on behalf of such Grantor Great Lakes at the Designated Spare Parts Locations identified on each subsequent Mortgage Supplement and that such Spare Parts will be held by or on behalf of such Grantor Great Lakes at the Designated Spare Parts Locations identified on the applicable Mortgage Supplement at the time of execution and delivery; (ii) each Grantor Great Lakes will have good title to any of its other Collateral which is subject to this Mortgage or which becomes subject to this Mortgage from time to time hereafter; (iii) the Airframes, Engines Engines, Spare Engines, Propellers and Spare Engines Propellers are correctly described by Manufacturer, model and serial number as set forth on the Manufacturer’s serial plate for said Airframes, Engines and Engines, Spare Engines, Propellers and Spare Propellers in each case subject to Permitted EncumbrancesLiens; and (iv) for purposes of the International Registry, model references for the Airframes, Engines Engines, Spare Engines, Propellers and Spare Engines Propellers set forth in each Mortgage Supplement constitute the manufacturers’ respective generic model designations for such Airframes, Engines, Spare Engines, Propellers and Spare Engines Propellers (as required to be used pursuant to the “regulations” (as defined in the Cape Town Convention)).

(a) Grantors hereby represent and warrant that (i) each Grantor has good title to (x) each of the Airframes, Engines and Spare Engines that are listed on the initial Mortgage Supplement in its name and will have good title to each of the Airframes, Engines and Spare Engines listed on each subsequent Mortgage Supplement in its name at the time of execution and delivery thereof; and (y) all of the Spare Parts which are held by or on behalf of such Grantor at the Designated Spare Parts Locations identified on the initial Mortgage Supplement and will have good title to each of the Spare Parts which are held by or on behalf of such Grantor at the Designated Spare Parts Locations identified on each subsequent Mortgage Supplement and that such Spare Parts will be held by or on behalf of such Grantor at the Designated Spare Parts Locations identified on the applicable Mortgage Supplement at the time of execution and delivery; (ii) each Grantor will have good title to any of its other Collateral which is subject to this Mortgage or which becomes subject to this Mortgage from time to time hereafter; (iii) the Airframes, Engines and Spare Engines are correctly described by Manufacturer, model and serial number as set forth on the Manufacturer’s serial plate for said Airframes, Engines and Spare Engines, in each case subject to Permitted Encumbrances; and (iv) for purposes of the International Registry, model references for the Airframes, Engines and Spare Engines set forth in each Mortgage Supplement constitute the manufacturers’ respective generic model designations for such Airframes, Engines, and Spare Engines (as required to be used pursuant to the “regulations” (as defined in the Cape Town Convention)).

Other Representations, Warranties and Covenants. (a) Grantors The Grantor hereby represent represents and warrant warrants that it (i) each Grantor has good and marketable title to (x) each of the Airframes, Aircraft (including the Airframes and Engines and Spare Engines attached thereto) that are listed on the initial Mortgage Supplement in its name and will have good and marketable title to each of the Airframes, Aircraft (including the Airframes and Engines attached thereto) listed on each subsequent Mortgage Supplement at the time of execution and delivery thereof; (y) each of the Spare Engines listed on the initial Mortgage Supplement and will have good and marketable title to each of the Spare Engines listed on each subsequent Mortgage Supplement in its name at the time of execution and delivery thereof; and (yz) all of the Spare Parts which are held by or on behalf of such the Grantor at the Designated Spare Parts Locations identified on the initial Mortgage Supplement and will have good and marketable title to each of the Spare Parts which are held by or on behalf of such the Grantor at the Designated Spare Parts Locations identified on each subsequent Mortgage Supplement and that such Spare Parts will be held by or on behalf of such Grantor at the Designated Spare Parts Locations identified on the applicable Mortgage Supplement at the time of execution and delivery; and (ii) each Grantor will have good title to any of its other Collateral which is subject to this Mortgage or which becomes subject to this Mortgage from time to time hereafter; . (iiib) The Grantor further represents, warrants and agrees that prior to any utilization or disposition thereof which is permitted hereunder or under any other Loan Document, it shall maintain each of the Airframes, Engines and Spare Engines are correctly described by Manufacturer, model and serial number as set forth on Parts at the Manufacturer’s serial plate for said Airframes, Engines and Spare Engines, respective locations identified in each case subject to Permitted Encumbrances; and (iv) for purposes of the International Registry, model references for the Airframes, Engines and Spare Engines set forth in each applicable Mortgage Supplement constitute the manufacturers’ respective generic model designations for such Airframes, EnginesSupplement, and Spare Engines that the nature of its interest in and to each such location (e.g., owner, leasehold, tenant) is and shall remain as required to be used pursuant to described therein. The Grantor will promptly notify the “regulations” (as defined Collateral Agent in writing if the representations contained in the Cape Town Convention))preceding sentence become inaccurate in any respect.
