Common use of Other Right to Indemnification Clause in Contracts

Other Right to Indemnification. The indemnification and advancement of Expenses provided by this Agreement are cumulative, and not exclusive, and are in addition to any other rights to which the Indemnitee may now or in the future be entitled under any provision of the By-laws or Certificate of the Company, any vote of stockholders or Disinterested Directors, any provision of law or otherwise. Except as required by applicable law, the Company shall not adopt any amendment to its By-laws or Certificate the effect of which would be to deny, diminish or encumber the Indemnitee’s right to indemnification under this Agreement.

The rights of indemnification and advancement of Expenses as provided by this Agreement are cumulative, and shall not exclusive, and are in addition to be deemed exclusive of any other rights to which the Indemnitee may now or in the future at any time be entitled under applicable law, the Articles, any provision agreement, a vote of shareholders of the By-laws Company or Certificate a resolution of directors of the Company, any vote of stockholders or Disinterested Directors, any provision of law or otherwise. Except as required by applicable law, the Company shall not adopt any amendment to its By-laws or Certificate the effect of which would be to deny, diminish or encumber the Indemnitee’s right to indemnification under this Agreement.
