Common use of Other Severance Arrangements Clause in Contracts

Other Severance Arrangements. If Executive is entitled to severance pay and benefits pursuant to this Agreement following a Change of Control, the following shall apply: (i) The severance pay, benefits and other consideration provided for in Sections 2 and 5 of this Agreement shall be reduced by the amount of any other severance or termination pay to which Executive may be entitled under any agreement with HEC or any of its Affiliates, and (ii) Executive's entitlement to any other compensation or benefits or any indemnification shall be determined in accordance with HEC's employee benefit plans and other applicable programs, policies and practices or any indemnification agreement then in effect.
