Other Suspension. Notwithstanding any provision of this Agreement to the contrary, if the Board determines in good faith that any use of a Registration Statement or Prospectus hereunder involving Registrable Securities would (i) reasonably be expected to, in the good faith judgment of the majority of the Board, after consultation with counsel to the Company, materially impede, delay or interfere with, or require premature disclosure of, any material financing, offering, acquisition, disposition, merger, corporate reorganization, segment reclassification or discontinuance of operations that is required to be reflected in pro forma or restated financial statements that amends historical financial statements of the Company, or other significant transaction or any negotiations, discussions or pending proposals with respect thereto, involving the Company or any of its subsidiaries; (ii) require the inclusion in such Registration Statement of financial statements that are unavailable to the Company for reasons beyond the Company’s control; or (iii) require, after consultation with counsel to the Company, the disclosure of material non-public information, the disclosure of which would (x) not be required to be made if a Registration Statement were not being used and (y) reasonably be expected to materially and adversely affect the Company, then the Company shall be entitled to suspend, for not more than sixty (60) consecutive days (any such period, a “Blackout Period”), but in no event more than two (2) times in any consecutive twelve (12) month period (which periods may be successive), commencing on the date of this Agreement, the use of any Registration Statement or Prospectus and shall not be required to amend or supplement the Registration Statement, any related Prospectus or any document incorporated therein by reference. The Company promptly will give written notice of any such Blackout Period to the Holders.
Other Suspension. Notwithstanding Section 4.1 (AUP Violations), Google may immediately Suspend all or part of Customer's use of the Services (including use of the underlying Account) if (a) Google reasonably believes Suspension is needed to protect the Services, Google’s infrastructure supporting the Services, or any other customer of the Services (or their end users); (b) there is suspected unauthorized third-party access to the Services; (c) Google reasonably believes that immediate Suspension is required to comply with any applicable law; or (d) Customer is in breach of Section 3.4 (Restrictions) or the Service Specific Terms. Google will lift any such Suspension when the circumstances giving rise to the Suspension have been resolved. At Customer's request, Google will, unless prohibited by applicable law, notify Customer of the basis for the Suspension as soon as is reasonably possible. For Suspension of End User Accounts, Google will provide Customer’s Administrator the ability to restore End User Accounts in certain circumstances.

Notwithstanding Section 3.1 (AUP Violations) Google or TheoremOne may immediately Suspend all or part of Customer's use of the Services if: (a) Google believes Cus tomer's or any Customer End User's use of the Services could adversely impact the Services, other customers' or their end users' use of the Services, or the Google network or servers used to provide the Services, which may include use of the Services for cryptocurrency mining without Google's prior written approval; (b) there is suspected unauthorized third-party access to the Services; (c) Google believes it is required to Suspend immediately to comply with applicable law; or (d) Customer is in breach of Section 2.3 (Restrictions). Google will lift any such Suspension when the circumstances giving rise to the Suspension have been resolved. At Customer's request, unless prohibited by applicable law, Google or TheoremOne will notify Customer of the basis for the Suspension as soon as is reasonably possible.
Other Suspension. For any suspendable offense the consequences may include, but are not limited to, 1-5 days school suspension, 10-day participation restrictions, 25-day participation restrictions, dismissal from team with forfeiture of all honors, awards, and privileges, or ineligibility to participate in extra-curricular activities from the date of suspension Students need to see that they can do successful work as a result of their own efforts. Cheating, lying, and/or plagiarizing will result in a zero grade on the assignment, and could result in failure of an entire course of work. Parents will be notified and grades will be affected.
Other Suspension. Notwithstanding Section 4.2, Logis or its suppliers and licensors may immediately suspend all or part of Customer’s or its Affiliates’ access to and use of the Cloud Services, if;
Other Suspension. Without limiting Section 8.6.A, WorkFusion may immediately suspend all or part of Customer's use of the Cloud Services if: (a) WorkFusion believes Customer's use of the Cloud Services could adversely impact the Cloud Services, including other customers’ use of the Cloud Services, or the WorkFusion Cloud Platform or its network or servers used to provide the Cloud Services; (b) there is suspected unauthorized third-party access to the Cloud Services; (c) WorkFusion believes it is required to suspend immediately to comply with applicable law; (d) Customer is in breach of Section 2.3 (Use Restrictions); (e) the Customer’s use of the Cloud Services may subject WorkFusion, our Affiliates, or any third party to liability; or (f) the Customer has ceased to operate in the ordinary course, made an assignment for the benefit of creditors or similar disposition of Customer’s assets, or become the subject of any bankruptcy, reorganization, liquidation, dissolution or similar proceeding. WorkFusion will lift any such suspension when the circumstances giving rise to the suspension have been resolved. At Customer's request, unless prohibited by applicable law, WorkFusion will notify Customer of the basis for the suspension as soon as is reasonably possible. If the circumstances giving rise to the suspension are not resolved within five days from the suspension, or, if in WorkFusion reasonably believes that the circumstances are not capable of resolution, WorkFusion may terminate the Customer’s account and this Agreement immediately.

Actifio will lift any such Suspension when the circumstances giving rise to the Suspension have been resolved. At Customer's request, unless prohibited by applicable law, Actifio will notify Customer of the basis for the Suspension as soon as is reasonably possible.
Other Suspension. Notwithstanding clause 6.1 (AUP Violations) CURBON TRADING may immediately Suspend all or part of Customer’s use of the Services) if:
6.2.1. CURBON TRADING believes the Customer's or any Customer Administrator's or End User’s use of the Services could adversely impact the Services, other customers' or their end users' use of the Services, or the CURBON TRADING network or servers used to provide the Services;
6.2.2. Customer’s use of the Services is prohibited in the Service Specific Terms;
6.2.3. there is suspected unauthorised third-party access to the Services;
6.2.4. CURBON TRADING believes it is required to Suspend immediately to comply with applicable law; or
6.2.5. A Customer is in breach of clause 3.4 (Use Restrictions) or the Service Specific Terms. CURBON TRADING will lift any such Suspension when the circumstances giving rise to the Suspension have been resolved. At the Customer’s request, unless prohibited by law, CURBON TRADING will notify the Customer of the basis for the Suspension as soon as is reasonably possible.
