(a) Between the date hereof and the Commencement Date, HTI and DCC shall negotiate in good faith to determine the number and type of contacts, ***, which HTI may make with any Person who purchases or leases an Enabled Vehicle but declines to enter into a Subscriber Agreement at the time of such purchase or lease for the sole purpose of soliciting such Person as a subscriber to the PASS Service and Approved Additional Services by using any of the information provided by DCC pursuant to the first sentence of this Section 10(a), until such Person subsequently enters into a Subscriber Agreement for such services or, if applicable, an equivalent agreement for the receipt of Fleet Services. HTI agrees to comply with the restrictions determined pursuant to the preceding sentence and make no contact with such Person for any other purpose. ***.
(c) Each Subscriber Agreement will provide the Subscriber with an opportunity to consent to the acquisition and use of Vehicle and Subscriber Data by HTI and by DCC, including any resale by HTI of any Vehicle and Subscriber Data other than Owner Information. ***.
