Common use of OTS Approval Clause in Contracts

OTS Approval. Anything herein to the contrary notwithstanding, the First Investor hereby acknowledges and agrees that its exercise of Warrants is subject to the condition that it will have first received any and all necessary approvals, authorizations and consents of the Office of Thrift Supervision or any other relevant Governmental Entity (as defined in the Investment Agreement) necessary to permit such exercise.
