Common use of Outside Activities of Members Clause in Contracts

Outside Activities of Members. (i) Subject to (w) Article XIII of the Amended and Restated Certificate of Incorporation of the Managing Member, (x) any agreements entered into pursuant to ‎Section 4.5 and (y) any other agreements (including any employment agreement) entered into by a Member or any of its Affiliates with the Managing Member, the Company or a Subsidiary, any Member (but, with respect to the Managing Member, subject to Section 4.4(a)), or any officer, director, employee, agent, trustee, Affiliate, member or stockholder of any Member shall be entitled to and may have business interests and engage in business activities in addition to those relating to the Company, including business interests and activities that are in direct or indirect competition with the Company or that are enhanced by the activities of the Company.

Outside Activities of Members. (i) Subject to (wx) Article XIII XI of the Amended and Restated Certificate of Incorporation of the Managing MemberManager, (xy) any agreements entered into pursuant to ‎Section 4.5 4.5, and (yz) any other agreements (including any employment agreement) entered into by a Member or any of its Affiliates with the Managing MemberManager, the Company or a Subsidiary, any Member (but, with respect to the Managing MemberManager, subject to Section ‎Section 4.4(a)), or any officer, director, employee, agent, trustee, Affiliate, member or stockholder of any Member shall be entitled to and may have business interests and engage in business activities in addition to those relating to the Company, including business interests and activities that are in direct or indirect competition with the Company or that are enhanced by the activities of the Company, and, in any such case, need not (A) first offer the Company or any of its Subsidiaries an opportunity to participate in such business interests or activities or (B) account to the Company or any of its Subsidiaries with respect to such business interests or activities.
