Common use of Outside Activities of the Members Clause in Contracts

Outside Activities of the Members. Nothing herein contained shall prevent or prohibit the Members, Council Representatives, Committee Delegates, or any Affiliates of the Members from entering into, engaging in or conducting any other activity or performing for a fee any service; acting as a director, officer or employee of any corporation, as a trustee of any trust, as a general partner of any partnership, or as an administrative official of any other business entity; or receiving compensation for services to, or participating in profits derived from, the investments of any business, property, corporation, trust, partnership or other entity, regardless of whether such activities are competitive with the Council (collectively, the “Outside Activities”). In addition, nothing herein shall require any Member, Council Representative, Committee Delegate, or any Affiliates of any Member to offer any interest in such Outside Activities to the Council or any other Member. ARTICLE 5 TAX MATTERS corporate structure that would change the Council’s status under U.S. federal tax law will require the approval of at least three-quarters of the Members.
