Common use of Outside Board Activities Clause in Contracts

Outside Board Activities. Subject to the conditions hereinafter set forth, after the Closing under the Merger Agreement, Executive may, upon prior notice to Company's Board, serve as a member of no more than three (3) boards of directors, boards of trustees or other governing bodies of "for profit" companies and/or "non-profit" civic, cultural, educational and/or charitable organizations, provided that in all cases: (i) such company or organization is not directly or indirectly engaged in a business or does not support a business that is competitive, directly or indirectly, with the business of Company, and (ii) such service does not interfere with Executive's ability to perform his duties and responsibilities to Company.
