Common use of Outside Boards Clause in Contracts

Outside Boards. Executive shall obtain the written consent of the Board prior to serving on corporate, civic or charitable boards or committees. This Section 3.b shall not be construed as preventing Executive from serving on the corporate, civic or charitable boards or committees on which Executive serves as of the Effective Date and which have been previously disclosed to the Board in writing; provided that in no event shall any such service or business activity require the provision of substantial services by Executive to the operations or the affairs of such businesses or enterprises such that the provision thereof would interfere in any respect with the performance of Executive’s duties hereunder or cause a conflict of interest to the interests of the Company.

Outside Boards. It is acknowledged that Executive currently serves on a chartiable board. Executive shall obtain the written consent of the Board prior to serving on corporate, civic a public company or charitable boards or committeesother corporate board. This Section 3.b shall not be construed as preventing Executive from serving on the corporate, civic or charitable boards or committees on which Executive serves as of the Effective Date and which have has been previously disclosed to the Board in writingCEO of the Company; provided that in no event shall any such service or business activity require the provision of substantial services by Executive to the operations or the affairs of such businesses or enterprises such that the provision thereof would interfere in any respect with the performance of Executive’s duties hereunder or cause a conflict of interest to the interests of the Company.
