Outside Investigations Clause Samples

The Outside Investigations clause authorizes or addresses the process by which a party may conduct inquiries or fact-finding activities outside the immediate scope of the agreement or organization. This can include hiring third-party investigators, consulting external experts, or gathering information from sources not directly involved in the matter at hand. The clause typically clarifies the circumstances under which such investigations are permitted, any limitations on their scope, and the responsibilities for costs or confidentiality. Its core function is to ensure transparency and thoroughness in addressing concerns such as compliance, misconduct, or due diligence, thereby helping to resolve issues that may not be fully understood through internal resources alone.
Outside Investigations. The parties recognize that the conduct of employees may, at times, be the subject of investigations by outside agencies. It is not the parties’ intent to hinder any ongoing investigation; however, the parties mutually agree that these types of investigations should be conducted discretely, and where possible and practical, off the Employer’s property and outside the employee’s normal working hours.
