Common use of Outstanding Fees and Charges Clause in Contracts

Outstanding Fees and Charges. In the event of termination or non-renewal of this Agreement by the Administrator with respect to any or all Trusts or Portfolios, the Administrator will promptly pay the Transfer Agent all fees and charges for the services provided under this Agreement (i) which have been accrued and remain unpaid as of the date of such notice of termination or non-renewal and (ii) which thereafter accrue for the period through and including the date of the Administrator’s Deconversion.

Outstanding Fees and Charges. In the event of termination or non-renewal of this Agreement by the Administrator with respect to any or all Trusts or on behalf of the Trust and Portfolios, the Administrator will promptly pay the Transfer Agent all fees and charges for the services provided under this Agreement (i) which have been accrued and remain unpaid as of the date of such notice of termination or non-renewal and (ii) which thereafter accrue for the period through and including the date of the Administrator’s Deconversion.

In the event of termination for cause or for convenience, either during the Initial Term or any Renewal Term, or non-renewal of this Agreement by the Administrator with respect to any or all Trusts or Portfolios, the Administrator will promptly pay the Transfer Agent all fees and charges for the services provided under this Agreement (i) which have been accrued and remain unpaid as of the date of such notice of termination or non-renewal and (ii) which thereafter accrue for the period through and including the date of the Administrator’s Deconversion.
