The Company represents and warrants to the Underwriters that this offering or the listing of the Company’s securities on Nasdaq is not subject to or has fully complied with the requirements of the Trial Administrative Measures of the Overseas Securities Offering and Listing by Domestic Companies and related regulations, rules or guidelines, including but not limited to the Provisions on Strengthening the Confidentiality and Archive Management Work Relating to the Overseas Securities Offering and Listing.
