Common use of Owner Assignments Restricted Clause in Contracts

Owner Assignments Restricted. Except as otherwise permitted in Article XIII or this Article XI, Owner may not cause, permit or suffer an Assignment of Owner’s right, title and interest in and to this Agreement without the prior consent of Manager which consent shall not be unreasonably withheld, conditioned or delayed. Any Change of Control of Owner shall be deemed an Assignment for purposes of this Article XI. Any Assignment by Owner in violation of the terms of this Article XI shall be void and of no force or effect as between the Parties and shall constitute an Event of Default by Owner governed by the terms of Article XVI.
