Common use of Owner Participant’s Instructions to Owner Trustee; Satisfaction of Conditions Clause in Contracts

Owner Participant’s Instructions to Owner Trustee; Satisfaction of Conditions. (a) Owner Participant agrees that the making available to Owner Trustee of the amount of its Commitment for the Units delivered on or prior to the Closing Date in accordance with the terms of this Article II shall constitute, without further act, authorization and direction by Owner Participant to Owner Trustee, subject, on the Closing Date, to the conditions set forth in Sections 4.1 and 4.3 to be fulfilled on the Closing Date having been fulfilled on the Closing Date to the satisfaction of Owner Participant or waived by Owner Participant, to take the applicable actions specified in Section 3.01 of the Trust Agreement with respect to the Units on the Closing Date. (b) Owner Participant agrees, in the case of any Replacement Unit substituted pursuant to Section 11.4 of the Lease, that Owner Trustee is authorized and directed to take the actions specified in Section 11.4 of the Lease with respect to such Replacement Unit upon due compliance with the terms and conditions set forth in such Section 11.4 of the Lease with respect to such Replacement Unit. (c) Owner Participant agrees that the authorization by Owner Participant or its counsel to Owner Trustee to release to each Seller, the Owner Participant’s Commitment with respect to the Units delivered on or prior to the Closing Date shall constitute, without further act, notice and confirmation that all conditions set forth in Sections 4.1 and 4.3 to be fulfilled on the Closing Date were either met to the satisfaction of Owner Participant or, if not so met, were in any event waived by it with respect to such Units.

(b) Owner Participant agrees, in the case of any Replacement Unit substituted pursuant to Section 11.4 of the Lease, that Owner Trustee is authorized and directed to take the actions specified in Section 11.4 of the Lease with respect to such Replacement Unit upon due compliance with the terms and conditions set forth in such Section 11.4 of the Lease with respect to such Replacement Unit. (b) Owner Participant agrees, in the case of any Replacement Unit substituted pursuant to Section 11.4 11.2 of the Lease, that Owner Trustee is authorized and directed to take the actions specified in Section 11.4 of the Lease with respect to such Replacement Unit upon due compliance with the terms and conditions set forth in such Section 11.4 of the Lease with respect to such Replacement Unit. (c) Owner Participant agrees that the authorization by Owner Participant or its counsel to Owner Trustee to release to each SellerLessee, the Owner Participant’s Commitment with respect to the Units delivered on or prior to the each Closing Date shall constitute, without further act, notice and confirmation that all conditions set forth in Sections 4.1 and 4.3 Section 4 to be fulfilled on the such Closing Date were either met to the satisfaction of Owner Participant or, if not so met, were in any event waived by it with respect to such Units.
