OWNER'S OBLIGATIONS AS TO THE PROPERTIES. 6.01. Prior to the Closing, Owner agrees that it shall maintain, repair, manage and operate the Properties in substantially the same manner as Owner has operated, managed, maintained and repaired the Properties prior to the date of this Agreement. Owner agrees that Owner (a) will not dissipate the Properties or remove any material assets, fixtures, equipment or personal property therefrom (not including any of the foregoing items to the extent owned by tenants or other occupants of the Properties) unless the same are replaced with similar items of at least equal quality prior to the Closing,
