Common use of Owner's Rejection of Subcontractors Clause in Contracts

Owner's Rejection of Subcontractors. Owner retains the right to reject, in Owner's reasonable discretion, the award of any contract to any Subcontractor. If Contractor reviews, evaluates and recommends to the Owner a bid or proposal from a Subcontractor but Owner requires another bid or proposal be accepted, the Owner shall adjust the Contract Sum to account for the difference between the two bids, if any. Additionally, the Construction Schedule will be adjusted if Owner's exercise of such right materially impacts the Construction Schedule. Contractor shall have the right to object to the award provided that Contractor, acting in good faith, deems the bidder therefor unqualified or unresponsive and provides Owner with satisfactory evidence thereof. The Owner shall exercise reasonable and sound discretion in making any determination as to the choice of Subcontractors; however, assuming reasonable exercise of discretion, all such determinations by Owner shall be final and binding on Contractor.
