Ownership and Goodwill of Marks. The Marketer acknowledges that its rights to use the Marks are derived solely from this Agreement, unless such rights are granted under a separate written agreement with the Franchisor, and are limited to operating as an Marketer pursuant to and in compliance with this Agreement. Any unauthorized use of the Marks by the Marketer shall constitute a breach hereof and an infringement of the Franchisor's rights in and to the Marks. The Marketer acknowledges and agrees that its usage of the Marks and any goodwill established thereby shall inure to the Franchisor's exclusive benefit and that this Agreement does not confer any goodwill or other interest in the Marks upon the Marketer.
