Common use of Ownership and Interim Operations of Sub Clause in Contracts

Ownership and Interim Operations of Sub. Parent indirectly owns all of the outstanding capital stock of Sub. Sub was formed solely for the purpose of engaging in the Arrangement and the other transactions contemplated by this Agreement and has engaged in no business other than in connection with the Arrangement and the other transactions contemplated by this Agreement.

Ownership and Interim Operations of Sub. Parent indirectly owns all of the All outstanding capital stock of SubSub is owned by Parent. Sub was formed solely for the purpose of engaging in the Arrangement and the other transactions contemplated by this Agreement and has engaged in no business other than in connection with the Arrangement and the other transactions contemplated by this Agreement, has engaged in no other business activities, and has conducted its operations only as contemplated by this Agreement.

Ownership and Interim Operations of Sub. Parent indirectly owns beneficially and of record all of the outstanding capital stock of Sub. Sub was formed solely for the purpose of engaging in the Arrangement Merger and the other transactions contemplated by this Agreement and has engaged in no business other than in connection with the Arrangement Merger and the other transactions contemplated by this Agreement.

Ownership and Interim Operations of Sub. Parent indirectly owns all of the All outstanding capital stock of SubSub is owned by Parent and Parent is in control of Sub within the meaning of Section 368(e) of the Code. Sub was formed solely for the purpose of engaging in the Arrangement and the other transactions contemplated by this Agreement and has engaged in no business other than in connection with the Arrangement and the other transactions contemplated by this Agreement, has engaged in no other business activities, and has conducted its operations only as contemplated by this Agreement.
