OWNERSHIP AND POSSESSION OF ASSETS. 2.1 All assets used by each Group Company in the course of its business as carried on at the date of this Agreement or which are necessary for the continuation of its business, other than any asset held under a finance lease, hire purchase and rental or credit sale agreement which has been Disclosed, are legally and beneficially owned by the Group Company free from Encumbrances, and so far as the Seller is aware, no person has claimed to be entitled to an Encumbrance in respect of any such asset.
