The Investor has received a copy of the By-Laws of the Company and understands, and will be in compliance with, the restrictions and limitations on transfer and ownership of the Company's Capital Stock set forth therein at the Closing and at all times thereafter, except as may be permitted by any waiver in writing by the Company of such restrictions and limitations.
