Common use of Ownership and Transfer of Shares Clause in Contracts

Ownership and Transfer of Shares. The Shareholder is the record and beneficial owner of all of the Shares, free and clear of any and all Liens. The Shareholder has the requisite power and authority to sell, transfer, assign and deliver such Shares as provided in this Agreement, and such delivery will convey to Purchaser good and marketable title to such Shares, free and clear of any and all Liens.

Ownership and Transfer of Shares. The Such Selling Shareholder is the record and beneficial owner of all the Purchased Shares of the Sharessuch Selling Shareholder, free and clear of any and all Liens. The Such Selling Shareholder has the requisite power and authority to sell, transfer, assign and deliver such its Purchased Shares as provided in this Agreement, and such delivery will convey to the Purchaser good and marketable title to such Shares, free and clear of any and all Liens. Each Purchased Share of such Selling Shareholder is duly authorized, validly issued, fully paid and non-assessable.
