Common use of Ownership, etc Clause in Contracts

Ownership, etc. The Sellers warrant that: 5.2.1 all Business IP is either legally and beneficially owned by the Company or lawfully used with the consent of the owner under a licence; 5.2.2 all Owned Business IP is not being infringed or attacked or opposed by any person; and 5.2.3 all Owned Business IP is not subject to any Encumbrance or any licence or authority in favour of another, and no claims have been made and no Intellectual Property applications are pending which if pursued or granted might be material to the truth and accuracy of any of the above.
