Ownership of Assets and Permitted Liens. Each Restricted Party has good and marketable title to their respective Property, in each case free and clear of all Liens other than Permitted Liens and, to the extent such Property is joint venture property, subject to the terms of the applicable joint venture agreement; provided that prior to the CMMC Bond Repayment Date, CMMC Holdco is clear of all Liens.
