Common use of Ownership of Background Intellectual Property Clause in Contracts

Ownership of Background Intellectual Property. As between the Parties, each Party will solely own (or retain ownership of) all rights, title, and interests in and to all intellectual property to which such Party has rights and that was owned by such Party prior to the Effective Date or that arose outside of activities conducted under this Agreement.

Ownership of Background Intellectual Property.
