Ownership of Depositor. Nationstar owns 100% of the membership interest in the Depositor. No Person other than Nationstar has any rights to acquire membership interests in the Depositor. Nationstar shall not assign, sell, convey or otherwise transfer its ownership of the membership interest in the Depositor, without the prior written consent of the Administrative Agent, which consent shall not be unreasonably withheld, it being understood that the Administrative Agent shall consider, among other things, whether there continues to be adequate consideration for the Receivables transfers from the Receivables Seller to the Depositor, following any such transfer.
