Common use of Ownership of Interested Persons; Affiliations Clause in Contracts

Ownership of Interested Persons; Affiliations. Except as set forth on Schedule 4.8, neither the Physician nor his spouse, children or Affiliates, owns directly or indirectly, on an individual or joint basis, any interest in, has a compensation or other financial arrangement with, or serves as an officer or director of, any customer or supplier of the Company or any organization that has a material contact or arrangement with the Company. Neither the Physician nor any of his Affiliates is, or with the last three (3) years was, a party to any contract, lease, agreement or arrangement, including, but not limited to, any joint venture or consulting agreement with any physician, hospital, pharmacy, home health agency or other person which is in a position to make or influence referrals to, or otherwise generate business for, the Company.

Neither the Physician nor any of his Affiliates is, or with the last three (3) years was, a party to any contract, lease, agreement or arrangement, including, but not limited to, any joint venture or consulting agreement with any physician, hospital, pharmacy, home health agency or other person which is in a position to make or influence referrals to, or otherwise generate business for, the Company.

Neither the Physician Shareholder nor any of his Affiliates is, or with the last three (3) years was, a party to any contract, lease, agreement or arrangement, including, but not limited to, any joint venture or consulting agreement with any physician, hospital, pharmacy, home health agency agency, organization engaged in Managed Care Business or other person which is in a position to make or influence referrals to, or otherwise generate business for, the Company.

Neither the Physician Stockholder nor any of his their Affiliates is, or with within the last three (3) years was, a party to any contract, lease, agreement or arrangement, including, but not limited to, any joint venture or consulting agreement with any physician, hospital, pharmacy, home health agency or other person which is in a position to make or influence referrals to, or otherwise generate business for, the CompanyAcquired Companies.

Neither None of the Physician nor Partners or any of his their respective Affiliates is, or with the last three (3) years was, a party to any contract, lease, agreement or arrangement, including, but not limited to, any joint venture or consulting agreement with any physician, hospital, pharmacy, home health agency agency, organization engaged in an Optical Business or other person which is in a position to make or influence referrals to, or otherwise generate business for, the CompanyPartnership.
