Common use of Ownership of Marks Clause in Contracts

Ownership of Marks. 17.2.1 Seller recognizes there is significant value and good will associated with the MARKS, and acknowledges that the MARKS and all rights and good will associated with the MARKS belong exclusively to Buyer. 17.2.2 Seller’s every use of the MARKS shall inure to the benefit of Buyer and Seller shall not at any time acquire any rights in the MARKS by virtue of any use it may make with of the MARKS. 17.2.3 Seller shall cooperate fully and in good faith with Buyer for the purpose of securing and preserving Buyer’s rights to the MARKS. 17.2.4 Upon the termination or expiration of the T&C, Seller will be deemed to have assigned, transferred, and conveyed to Buyer any rights or good will to the MARKS that may have been obtained by Seller.
