Ownership of Pre-existing Intellectual Property Rights. The Parties hereby acknowledge and agree that, except as otherwise provided in, and subject to the terms and conditions of the Definitive Agreements and this Agreement, any Intellectual Property Rights owned by either Party and by MD Xxxxxxxx prior to the Effective Date of the Definitive Agreement shall remain owned by such Party and by MD Xxxxxxxx.
