Ownership of Purchaser. Parent indirectly owns all of the outstanding shares of capital stock of Purchaser.
Ownership of Purchaser. The Purchaser Parent owns, directly or indirectly, 100% of the issued and outstanding shares of the Purchaser.
Ownership of Purchaser. The Purchaser is indirectly 100% beneficially owned by the Xxx Xxxxxx Xxxxxxxxxx Trust (the “Trust”) and, prior to the date hereof, the Purchaser has disclosed to the Company all trustees of the Trust and any beneficiary of the Trust with a greater than 50% beneficial ownership in the Trust.

The Parent owns beneficially and of record all of the shares and interests in the Purchaser, free and clear of any Liens, proxies, voting trusts or restrictions whatsoever, except restrictions on transfer under any applicable securities laws. There are no outstanding options, warrants, conversion or other rights or agreements of any kind (except as contemplated hereby) for the purchase from, or the sale or issuance by, the Parent of any interest or stock in the Purchaser. Each of the outstanding shares of capital stock of the Purchaser is duly authorized, validly issued, fully paid and non-assessable. The Parent is not a party to any obligation (contingent or otherwise) to buy or sell the Purchaser, except to the extent of any pledge of the capital stock of the Purchaser required in connection with the Senior Credit Facility.
Ownership of Purchaser. Purchaser is and as of the Closing will be an indirect wholly owned subsidiary of Parent.
Ownership of Purchaser. KPI owns all of the issued and outstanding capital stock or other equity interests of Purchaser.
