Common use of Ownership of Real Property; Liens Clause in Contracts

Ownership of Real Property; Liens. Each of the Company and its Subsidiaries has good and marketable title to, or valid leasehold interests in, all of its material real property, except for minor defects in title and other Liens that do not interfere in any material respect with such Person’s ability to conduct its business as presently conducted. All such material real properties are free and clear of all Liens, other than Liens permitted by subsection 8.3.

Each of the Company Borrower and its Subsidiaries each Subsidiary has good and marketable title to, or valid leasehold interests in, all material real property necessary or used in the ordinary conduct of its material real propertybusiness, except for minor such defects in title as could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect. The real property of the Borrower and other Liens that do not interfere in any material respect with such Person’s ability its Subsidiaries is subject to conduct its business as presently conducted. All such material real properties are free and clear of all no Liens, other than Liens permitted by subsection 8.3Section 7.01.
