Common use of Ownership of the Company Common Stock Clause in Contracts

Ownership of the Company Common Stock. As of the date hereof, such Stockholder (a) Beneficially Owns the shares of the Company Common Stock indicated on Schedule A hereto opposite such Stockholder’s name, free and clear of any and all Liens, other than those created by (i) this Agreement and (ii) any applicable restrictions on transfers under the Securities Act or any applicable state securities law, and (b) has sole voting power over all of the shares of Company Common Stock Beneficially Owned by such Stockholder. As of the date hereof, such Stockholder does not Beneficially Own any capital stock or other securities of the Company other than the shares of Company Common Stock set forth on Schedule A opposite such Stockholder’s name. As of the date hereof, such Stockholder does not Beneficially Own any rights to purchase or acquire any shares of voting stock or other voting securities of the Company except as set forth on Schedule A opposite such Stockholder’s name.

As of the date hereof, such Company Stockholder (a) Beneficially Owns the shares of the Company Common Stock indicated on Schedule A hereto opposite such Company Stockholder’s name, free and clear of any and all LiensEncumbrances, other than those created by (i) this Agreement and (ii) any applicable restrictions or as set forth on transfers under the Securities Act or any applicable state securities lawSchedule B1, and (b) except as set forth on Schedule B2, has sole voting power over all of the shares of Company Common Stock Beneficially Owned by such Company Stockholder. As of the date hereof, such Company Stockholder does not Beneficially Own any capital stock or other securities of the Company other than the shares of Company Common Stock set forth on Schedule A opposite such Company Stockholder’s name. As of the date hereof, such Company Stockholder does not Beneficially Own any rights to purchase or acquire any shares of voting capital stock or other voting securities of the Company except as set forth on Schedule A opposite such Company Stockholder’s name, or as set forth on Schedule B3.

Ownership of the Company Common Stock. As of the date hereof, such Company Stockholder (a) Beneficially Owns the shares of the Company Common Stock indicated on Schedule A hereto opposite such Company Stockholder’s name, free and clear of any and all LiensEncumbrances, other than those created by (i) this Agreement and (ii) any applicable restrictions those disclosed in writing to Parent and the Company on transfers under or before the Securities Act or any applicable state securities lawdate hereof, and (b) has sole voting power over all of the shares of Company Common Stock Beneficially Owned by such Company Stockholder. As of the date hereof, such Company Stockholder does not Beneficially Own any capital stock or other securities of the Company other than the shares of Company Common Stock set forth on Schedule A opposite such Company Stockholder’s name. As of the date hereof, such Company Stockholder does not Beneficially Own any rights to purchase or acquire any shares of voting capital stock or of the Company, other voting securities than as provided in Article 3 of the Company except as set forth on Schedule A opposite such Stockholder’s nameStockholders Agreement.
