Common use of Ownership of the Old Warrants Clause in Contracts

Ownership of the Old Warrants. Warrantholder is the lawful record and beneficial owner of each of the Old Warrants, free and clear of any and all security interests, liens, encumbrances, claims, pledges, rights, charges, escrows, options, rights of first refusal, contracts, commitments, understandings and of any kind; Warrantholder has the full right, power and authority to exchange, sell, transfer and assign each of the Old Warrants pursuant to the terms and conditions of this Agreement, to the effect that CSC, immediately after the Closing, shall be the lawful record and beneficial owner of each of the Old Warrants, free and clear of any and all security interests, liens, encumbrances, claims, pledges, rights, charges, escrows, options, rights of first refusal, contracts, commitments, understandings or obligations of any kind, except as may arise from acts or omissions of CSC; and the total number of Old Warrants is the Stated Number of Warrants;
