Common use of Ownership of the Operating Subsidiaries Clause in Contracts

Ownership of the Operating Subsidiaries. The Partnership directly or indirectly owns the respective percentages of the outstanding capital stock, membership interests or partnership interests, as the case may be, of each Operating Subsidiary as set forth on Schedule III to this Agreement; all such capital stock, membership interests or partnership interests have been duly authorized and validly issued in accordance with the respective Operating Subsidiaries Operative Documents and (other than the general partnership interest in Xxxxxxx Pipeline) are fully paid (to the extent required under the applicable Operating Subsidiaries Operative Documents) and nonassessable (except as such nonassessability may be affected by Sections 18-607 and 18-804 of the Delaware LLC Act or Sections 17-607 and 17-804 of the Delaware LP Act, as the case may be, or any corollary provision of any other applicable state of organization’s statutes). The Operating Partnership directly or indirectly owns 40% of the membership interests in Discovery, 50% of the membership interests in Pine Tree, and 33.33% of the partnership interests in DCP Southeast Texas Holdings. Discovery owns 100% of the membership interests in Discovery Sub, and DCP Southeast Texas Holdings owns 100% of the membership interests in each of DCP Tailgate, Centana Intrastate Pipeline and DCP Southeast Texas Plants.

The Operating Partnership directly or indirectly owns 4010% of the membership interests in DiscoveryTexas Express, 50% of the membership interests in CrossPoint, 50% of the membership interests in Pine TreeTree and 40% of the membership interests in Discovery (which owns 100% of the membership interests in Discovery Sub), and 33.33% of the partnership interests in DCP Southeast SC Texas Holdings. Discovery owns 100% of the membership interests in Discovery Sub, and DCP Southeast Texas Holdings (which owns 100% of the membership interests in each of DCP TailgateDCPSC, Centana DEIN, Austin, Hinshaw, Intrastate Pipeline and DCP Southeast Texas PlantsSan Jacinto, and a 28.5% interest in Xxxx/Xxxxx).

Discovery owns 100% of the membership interests in Discovery Sub, Sub and DCP Southeast SC Texas Holdings owns 100% of the membership interests in each of DCP TailgateDCPSC, Centana DEIN, Austin, Hinshaw, Intrastate Pipeline and DCP Southeast Texas PlantsSan Jacinto and a 28.5% interest in Xxxx/Xxxxx.

Discovery owns 100% of the membership interests in Discovery Sub, and DCP Southeast Texas Holdings owns 100% of the membership interests in each of DCP Tailgate, Centana Intrastate Pipeline and DCP Southeast Texas Plants.

Discovery owns 100% of the membership interests in Discovery Sub, Sub and DCP Southeast SC Texas Holdings owns 100% of the membership interests in each of DCP TailgateDCPSC, Centana DEIN, Austin, Hinshaw, Intrastate Pipeline and DCP Southeast Texas PlantsSan Jacinto, and a 28.5% interest in Xxxx/Xxxxx.
