Common use of Ownership of Town House Shares Clause in Contracts

Ownership of Town House Shares. The Town House Shareholders hereby represent and warrant with respect to themselves that they are the legal and beneficial owners of all of the issued and outstanding shares of Town House's registered capital and ordinary shares free and clear of any claims, charges, equities, liens, security interests, and encumbrances whatsoever, and that such Shareholders have full right, power, and authority to transfer, assign, convey, and deliver their Town House shares; and delivery of such shares at the Closing will convey to Xerion good and marketable title to such shares free and clear of any claims, charges, equities, liens, security interests, and encumbrances whatsoever.

Ownership of Town House Shares. The Each Town House Shareholders Shareholder hereby represent represents and warrant warrants with respect to themselves that they are the legal and beneficial owners of all owner of the issued and outstanding shares percentage of Town House's House registered capital and ordinary shares set forth on Schedule 1(a) of this Agreement, free and clear of any claims, charges, equities, liens, security interests, and encumbrances whatsoever, and that each such Shareholders have Shareholder has full right, power, and authority to transfer, assign, convey, and deliver their Town House shares; and delivery of such shares registered capital at the Closing closing will convey to Xerion Comet good and marketable title to such shares free and clear of any claims, charges, equities, liens, security interests, and encumbrances whatsoever.
