Common use of Ownership of Works Clause in Contracts

Ownership of Works. The results and proceeds of your services under this Agreement, including, without limitation, any works of authorship resulting from your services to the Company or any of its affiliates during your employment with the Company and/or any of its affiliated companies and any works in progress resulting from such services, shall be works-made-for-hire and the Company shall be deemed the sole owner throughout the universe of any and all rights of every nature in such works, whether such rights are now known or hereafter defined or discovered, with the right to use the works in perpetuity in any manner the Company determines in its sole discretion without any further payment to you. If, for any reason, any of such results and proceeds are not legally deemed a work-made-for-hire and/or there are any rights in such results and proceeds which do not accrue to the Company under the preceding sentence, then you hereby irrevocably assign and agree to assign any and all of your right, title and interest thereto, including, without limitation, any and all copyrights, patents, trade secrets, trademarks and/or other rights of every nature in the work, whether now known or hereafter defined or discovered, and the Company shall have the right to use the work in perpetuity throughout the universe in any manner the Company determines in its sole discretion without any further payment to you. You shall, as may be requested by the Company from time to time, do any and all things which the Company may deem useful or desirable to establish or document the Company’s rights in any such results and proceeds, including, without limitation, the execution of appropriate copyright, trademark and/or patent applications, assignments or similar documents and, if you are unavailable or unwilling to execute such documents, you hereby irrevocably designate the Company’s Chief Legal Officer or his or her designee as your attorney-in-fact with the power to execute such documents on your behalf. To the extent you have any rights in the results and proceeds of your services under this Agreement that cannot be assigned as described above, you unconditionally and irrevocably waive the enforcement of such rights. The Company’s failure to respond to your request within such ninety days shall be deemed such a declination.

Ownership of Works. The results All artwork, articles, materials, memoranda, reports, research, improvements or any other works, created or developed by the Service Provider (or on behalf of the Service Provider) pursuant to the Service Provider’s engagement by the Company, including, but not limited those listed in Schedule A (whether alone or in conjunction with any other person, and proceeds regardless of your services under this Agreementform) (collectively, the “Works”) shall be the sole, exclusive and absolute property of the Company for any and all purposes whatsoever, and the Service Provider hereby irrevocably assigns to the Company all of the Service Provider’s right, title and interest in and to the Works (including, without limitation, any works of authorship resulting from your services copyright, trademark, patent or other intellectual property right therein). The Service Provider further agrees that the Service Provider does not have, will not claim to the Company have and will not attempt to register in his own name any right, title or any of its affiliates during your employment with the Company and/or any of its affiliated companies and any works in progress resulting from such services, shall be works-made-for-hire and the Company shall be deemed the sole owner throughout the universe interest of any and kind or nature whatsoever in or to such Works. Any assignment of copyrights in the Works under this Agreement includes all rights of every nature in such workspaternity, whether such integrity, disclosure, and withdrawal and any other rights are now that may be known or hereafter defined or discoveredas “moral rights” (collectively, with the right to use the works in perpetuity in any manner the Company determines in its sole discretion without any further payment to you“Moral Rights”). To the extent applicable, each such Work shall be deemed a “work made for hire” under the United States Copyright Act and other applicable copyright laws, and the Service Provider further agrees to execute any and all documents reasonably required by the Company in order to evidence or perfect the Company’s ownership of such Works, and the copyrights, patentstrademarks, trade secretspatents or other intellectual property rights therein, trademarks and/or in each case without additional compensation. In addition to its other rights of every nature in the workrights, whether now known or hereafter defined or discovered, and the Company shall have the exclusive right to use register with the work United States Copyright Office, United States Patent and Trademark Office and similar agencies worldwide the copyright, patent, trademark, trade secret or similar right in perpetuity throughout the universe in any manner the Company determines all such Works in its sole discretion without any further payment to you.
