Ownership or Control of Background IP. The Party’s acknowledge that each Party either owns all rights, title, and interest in and to, or Controls its respective Background IP. The Parties acknowledge and agree that, except for the license expressly set forth in Sections 9.1 and 9.2 below, neither Party shall have any rights to, or licenses under, the other Party’s Background IP.
