The Seller is a corporation duly incorporated and validly existing and in good standing under the laws of the State of Delaware, has not filed articles of dissolution and has a perpetual period of existence. The Seller has all requisite corporate power and authority to own, operate and lease its properties and to conduct its business as now being conducted.

The Seller has all requisite corporate power and authority is qualified to own, operate and lease its properties and to conduct its transact business as now being conductedforeign corporation in the jurisdictions set forth on the Schedule 4.1, and the Seller is not otherwise required to be so qualified in any other jurisdiction.
