Ownership Percentage Clause Samples

Ownership Percentage. The Ownership Percentage for each Member shall be determined by dividing the amount of each Member’s Capital Commitment by the sum of the aggregate Capital Commitments of all Members. The sum of the Members’ Ownership Percentages shall be one hundred percent (100%).

Ownership Percentage. The Shareholder represents and warrants that the Shares represent 40% of the outstanding shares of Metro Common Stock as of the date of this Agreement. The Shareholder further acknowledges and agrees that if at any time and from time to time from the date of this Agreement until the Expiration Date, the Shares represent less than 40% of the outstanding shares of Metro Common Stock, this Agreement shall be deemed to be amended as of such time such that the number of Shares subject to this Agreement shall be increased to the number of shares of Metro Common Stock constituting 40% of the outstanding shares of Metro Common Stock.

Ownership Percentage. Subject to adjustment pursuant to other provisions of this Agreement, the Ownership Percentage of each Member is as described on Exhibit "A."

Ownership Percentage. With respect to any Asset at a specified time, the percentage of capital stock, membership interests, partnership interests or other equity interests in the Asset held directly or indirectly by the Company or the Partnership at such time, without regard to classification of such equity interests.

Ownership Percentage. From time to time, ABI shall be permitted to request that CBA determine the percentage ownership of the outstanding Common Stock held by ABI or any other Person specified by ABI, and CBA shall promptly (but in any event no later than five Business Days after such request is made) and accurately provide ABI with a written determination of the percentage ownership of the outstanding Common Stock of ABI or such other Person, as of the date such request is made with such verification and detail as reasonably requested by ABI.

Ownership Percentage. Prior to Closing, the Click Selling Shareholders must deliver to Roadships and Roadships must receive such Certificated Shareholder Documents and Uncertificated Shareholder Documents as may be necessary for the Click Selling Shareholders to sell, assign and transfer to Roadships and for Roadships to receive not less than NINETY PERCENT (90%), in the aggregate, of all the Click Common Stock at Closing.

Ownership Percentage. The percentage of the shares in any series, class or other relevant population which are beneficially owned by any particular person at any particular time shall be calculated for purposes of this agreement by dividing (1) the number of shares in that series, class or other population which are beneficially owned by that particular person at that particular time by (2) the sum of (i) the number of shares in that series, class or other population which are actually outstanding at that particular time plus (ii) the number of shares in that series, class or other population which are beneficially owned by that particular person at that particular time but which are not actually outstanding at that particular time.

Ownership Percentage. (a) Subject to Section 1.3(b), for purposes of this Agreement “Ownership Percentage” means, at a particular time, the percentage ownership interest of the Investor and each Affiliate of the Investor, taken as a whole, in the equity capital of the Corporation, which shall be calculated by dividing (i) the number of Shares held by the Investor and its Affiliates by (ii) the total number of Shares issued and outstanding at such time. In (i), the number of Shares used in the calculation will include the exercise, exchange and/or conversion, by the Investor and its Affiliate(s) of any Subject Securities held by the Investor and its Affiliate(s) at such time. In (ii), the number of Shares used in the calculation will include the exercise, exchange, and/or conversion, of all of the securities of the Corporation then issued and outstanding.
