Contributor is the sole owner of good and marketable title to such Contributed Asset free and clear of any lien or encumbrance of any Person claiming through or under Contributor. Contributor has not pledged any of its interest in such Contributed Asset nor pledged or assigned any portion of the payments due and payable thereunder, or to become due and payable thereunder, to any Person.
