PARALLEL TRANSFER RESTRICTIONS. WJG Capital, L.L.C. ("WJG") and the PARENT's other stockholders and option and warrant holders shall have agreed in writing to restrict the transfers of their shares of Parent Stock on substantially the same terms as specified in Section 15.1; provided, that nothing shall restrict WJG from distributing shares of Parent Stock to the members of WJG so long as such members are subject to the referenced restrictions on transfer.
