Parent Approval. Parent shall cooperate with Sub in effecting, and if so requested by Sub, Parent shall, as the sole stockholder of ADLI, which is the principal stockholder of Sub, approve or ratify any actions which are reasonably necessary or desirable to be taken by Sub to effectuate the transactions contemplated by this Agreement in a manner consistent with the terms of this Agreement, the Plan and the Ancillary Agreements including, without limitation, (a) the election or appointment of directors and officers of Sub to serve in such capacities following the Effective Date and (b) the approval of appropriate plans, agreements and arrangements for Transferred Employees and non-employee members of Sub's board of directors.
