Common use of Parent SEC Reports Clause in Contracts

Parent SEC Reports. Parent has filed all forms, reports and documents required to be filed by Parent with the United States Securities and Exchange Commission (the “SEC”) since May 18, 2011. All such required forms, reports and documents are referred to herein as the “Parent SEC Reports.” As of their respective dates, the Parent SEC Reports (i) were prepared in accordance with the requirements of the Securities Act or the Exchange Act, as applicable, and the rules and regulations of the SEC thereunder applicable to such Parent SEC Reports, and (ii) did not at the time they were filed (or if amended or superseded by a filing, then on the date of such filing) contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading, except to the extent corrected by a subsequently filed Parent SEC Report that was filed prior to the date hereof.

All such required forms, reports and documents are referred to herein as the “Parent SEC Reports.” As of their respective dates, the Parent SEC Reports (i) were prepared in accordance with the requirements of the Securities Act or the Exchange Act, as applicable, and the rules and regulations of the SEC thereunder applicable to such Parent SEC Reports, and (ii) did not at the time they were filed (or if amended or superseded by a filing, then on the date of such filing) contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading, except to the extent corrected by a subsequently filed Parent SEC Report that was filed prior to the date hereof.

Parent has filed with the SEC all forms, reports and documents required to be filed by Parent with the United States Securities and Exchange Commission since January 1, 2014 (the “SEC”) since May 18collectively, 2011. All such required forms, reports and documents are referred to herein as the “Parent SEC Reports.” ”). As of their respective dates, the Parent SEC Reports (including any Parent SEC Reports filed after the date of this Agreement until the Closing) (i) were prepared in all material respects in accordance with the requirements of the Securities Act or the Exchange Act, as applicablethe case may be, and the rules and regulations of the SEC thereunder applicable to such Parent SEC Reports, Reports and (ii) did not at the time they were filed (or if amended or superseded by a filingfiling prior to the date of this Agreement, then on the date of such filing) contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading, except to the extent corrected by a subsequently filed Parent SEC Report that was filed prior to the date hereof.

Parent SEC Reports. Parent has filed timely all forms, reports and documents required to be filed by Parent with of the United States Securities and Exchange Commission (the “SEC”) since May 18, 2011. All such required forms, reports and documents are referred to herein as the “Parent SEC Reports.” . As of their respective dates, and giving effect to any amendments thereto, (a) the Parent SEC Reports (i) were prepared complied in accordance all material respects with the requirements of the Securities Act or the Exchange Actof 1933, as applicableamended (the “Securities Act”), and the Securities and Exchange Act of 1934, as amended, as the case may be, and the applicable rules and regulations of the SEC promulgated thereunder applicable to such and (b) none of the Parent SEC Reports, and (ii) did not Reports at the time they were filed (or if amended or superseded by a filingfiling prior to the date of this Agreement, then on the date of such filing) contain contained any untrue statement of a material fact or omit omitted to state a any material fact required to be stated therein or necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading, except to the extent corrected by a subsequently filed Parent SEC Report that was filed prior to the date hereof.

Parent SEC Reports. Except as set forth on Schedule 5.9, Parent has timely filed all forms, reports reports, schedules and other documents required to be filed by Parent with the United States SEC under the Securities Act and the Exchange Commission Act since December 31, 2002 (the “SEC”) since May 18collectively, 2011. All such required forms, reports and documents are referred to herein as the “Parent SEC Reports.” As of their respective dates, the ”).
