Parent Stock Price Sample Clauses

Parent Stock Price. As soon as practicable after the determination of the amount of cash, if any, to be paid to holders of Company Stock in lieu of any fractional share interests in Parent Common Stock, the Exchange Agent shall make available such amounts, without interest, to the holders of Company Stock entitled to receive such cash.

Parent Stock Price. Parent Common Stock shall have a per share price of $0.75. Parent Series A Preferred Stock shall have a per share price of $0.75. Parent Series B Preferred Stock shall have a per share price of $0.75.

Parent Stock Price. The per share last sale price of Parent Common Stock as reported by the New York Stock Exchange not later than 3:00 pm, Eastern Time, on the Closing Date shall not be less than $21.09.

Parent Stock Price. If Buyer elects to pay the amounts set forth in Section 2.1(a) in Common Stock, the Average Market Value of Common Stock determined pursuant to Sections 2.1(a) and 2.2 hereof shall be no more than $45 per share.

Parent Stock Price. The closing price of Parent Common Stock on the trading day immediately prior to the Closing Date shall not have been greater than $12.00.
