Parent Stock Price. As soon as practicable after the determination of the amount of cash, if any, to be paid to holders of Company Stock in lieu of any fractional share interests in Parent Common Stock, the Exchange Agent shall make available such amounts, without interest, to the holders of Company Stock entitled to receive such cash.
Parent Stock Price. The per share last sale price of Parent Common Stock as reported by the New York Stock Exchange not later than 3:00 pm, Eastern Time, on the Closing Date shall not be less than $21.09.
Parent Stock Price. Parent Common Stock shall have a per share price of $0.75. Parent Series A Preferred Stock shall have a per share price of $0.75. Parent Series B Preferred Stock shall have a per share price of $0.75.
Parent Stock Price. If Buyer elects to pay the amount set forth in Section 2.1(a) in Common Stock, the Average Market Value of Common Stock determined pursuant to Sections 2.1(a) and 2.2 hereof shall be no less than $25.00 per share.
Parent Stock Price. The closing price of Parent Common Stock on the trading day immediately prior to the Closing Date shall not have been greater than $12.00.
Parent Stock Price. The Parent closing stock price on the ------------------ day prior to the Close shall be equal or greater than $3.85.
Parent Stock Price. The per share price (as determined at 4:00 pm as of the relevant date) of Parent’s Stock on the Nasdaq Global Market (as adjusted for splits, conversions and reverse splits on or after the date hereof) shall not be less than $5.2151 for the ten (10) immediately preceding trading days prior to the scheduled Closing Date.
Parent Stock Price. In the case of the Company only, if the Company Board so determines by a majority vote of the members of the entire Company Board, it will have the right to terminate this Agreement, at any time during the five-day period commencing on and following the Determination Date (as defined below), such termination to be effective on the 30th day following such Determination Date, if both of the following conditions are satisfied:
Parent Stock Price. “Parent Stock Price” shall mean the lower of (a) the average of the closing price per share of the Parent Common Stock as reported on the NASDAQ Stock Market for the ten (10) trading days ending on the date that is three (3) business days prior to the Closing Date and (b) the closing price per share of the Parent Common Stock as reported on the NASDAQ Stock Market on the Closing Date.
